Article 1 - Placing Orders                                                
1.1 Placing Orders                                                
"The client, previously informed of product's prices from Empire Gems, sends the order by any means and in writing to Empire Gems for acceptance. The order becomes final, once the purchase order has been accepted by Empire Gems, which addresses to the client a confirmation of the order by email."                                              
                                               
1.2 Cancellation or modification of Orders                                                
"Any request to change or cancel, partially or totally, any order  is not possible, unless expressly agreed in writing by Empire Gems.
In the event of a confirmed cancellation, Empire Gems in all cases reserves the right to charge for any additional costs incurred for the preparation or execution of the cancelled or modified order and will inform the client in consequence. Due to the customized nature of the products sold by Empire Gems, there is no legal reflection period and no returns once delivery has been made."                                                
                                               
                    
Article 2 - Price and Payments                                                
2.1 Billing Conditions                                                
"Any request to change or cancel, partially or totally, any Order will only be valid if expressly agreed in writing by Empire Gems.
Empire Gems in all cases reserves the right to charge for any additional costs incurred for the preparation or execution of the cancelled or modified order and will inform the client in consequence"                                               
"All orders issued by the client shall be invoiced at the prices appearing on the price lists in force on the date the order is placed, and the client hereby represents and declares that he/she has examined the prices before entering submitting any order."                                                
"Sale prices are stated in Euros, or any another currency mutually agreed with the Client."                                           
"Except in case of a prior written agreement given by Empire Gems,  invoices must be paid by wire transfer (or other agreed payment method) prior to the release of the products and the issuance of the invoice. The beneficiary bank information can be found below."                                                
"At any time, if the client’s financial situation deteriorates (in Empire Gem's reasonable but sole discretion) or in the event of reduction or cancellation of the authorization given by credit insurance or in case of failure of timely payment, Empire Gems reserves itself the right to request from client any commercially reasonable method of payment and/or any suitable payment terms and/or any guarantee."

2.2 Late Penalties                                                
"In case of non-compliance with payment deadlines agreed between Empire Gems and the client, the client will be deemed to be in default of payment without Empire Gems having to issue any notice of default.
Interest for late payment will automatically apply as from the day after the due date for payment at a rate of three (3) times the legal interest rate, and all outstanding invoices shall become immediately payable .
Empire Gems may also claim a lump sum of forty (40) euros for the recovery of unpaid amounts as from the first day of default of payment.
Empire Gems reserves the right to seek additional compensation if the costs of recovery generated exceed the aforementioned damages."                                                
"Failure to pay a single bill or invoice at due date makes any other debt of the client not yet due immediately payable, ipso jure and without the need for any prior notice. The client will be liable to Empire Gems for the costs and expenses (including legal fees and costs) for any debt collection required as a result of a late payment. Finally, if an instalment is not paid within the set time period, Empire Gems reserves the right to suspend or cancel deliveries of orders or to require the client to pay in advance, without any discount, by bank transfer, for all current or future orders."                                                
                        
                                               
                                               
Article 3 - Routing Of Order-Delivery  

                                             
3.1 Transportation                                                
"Shipping and transportation costs will be borne by the client for any shipment for which the invoiced amount is below one thousand (1,000) euros exclusive of taxes. For any shipment for which the invoiced amount exceeds one thousand (1,000) euros exclusive of taxes, Empire Gems may, on a case-by-case basis and at its own discretion, decide to bear the transportation costs. Otherwise, the transportation costs shall be borne by the Client.
Empire Gems reserves the right to deliver the Products in partial shipments."                                                
                         
                                               
3.2 Delivery                                                
"Empire Gems shall use its reasonable efforts to deliver the Products to the delivery location on the indicative delivery date as notified by Empire Gems to the client, such date being, however, subject to change without giving the right for damages to the client. Deliveries will be performed by a carrier discretionarily chosen by Empire Gems or by declared value post within The Netherlands. 
Empire Gems will send the client a confirmation email when the order is sent.
Delivery cannot be made unless the client is up to date on all of its obligations with regard to Empire Gems. Failing this, Empire Gems reserves the right to suspend the delivery of current or future orders until complete satisfaction of those obligations, and the order also may be cancelled in accordance with the terms of article 1.2."                                                
3.3 Return Policy                                                
"As mentioned in article 1.2, due to the customized nature of the products sold by Empire Gems, there is no legal reflection period and no returns once delivery has been made. To further detail the Return Policy of Empire Gems:

• Products once sold are not returnable.

• Once products are ordered, they cannot be cancelled until Empire Gems has confirmed the cancellation.

• No Refunds."
